By accessing or using our website at https://4seasonfunding.com (the “Site”), submitting an application, or using any services we provide, you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional terms presented at the point of service. If you do not agree, do not use the Site or services.

We may update these Terms from time to time. The latest version will be posted on the Site with the effective date. Your continued use of the Site or services after changes are posted constitutes acceptance of the revised Terms.

1. Program Description
   With your explicit consent, 4SF may send you SMS/text messages related to our services, including:

• Application confirmations and status updates
• Account and servicing notifications
• Reminder notices and customer support communications

Opt-in is collected via our web/application forms (with a dedicated checkbox for SMS consent) or other consent methods we present at the point of collection. SMS consent is not required to apply for or obtain financing or services from 4SF.

2. Cancellation (Opt-Out) Instructions
   You can cancel SMS at any time by replying “STOP”. You may also use recognized synonyms such as “END,” “CANCEL,” “UNSUBSCRIBE,” or “QUIT.” After you text “STOP,” you will receive a confirmation message, and no further messages will be sent unless you re‑opt in. Opt-out requests are processed within 24 hours.

3. Help & Support
   For assistance, reply “HELP” or contact us at info@4seasonfunding.com or (786) 572‑1203 during regular business hours.

4. Message Frequency & Content
   Message frequency varies based on your interactions with 4SF and your account status. Messages will relate to the services you requested or receive from us. Promotional content will not be sent without your separate, explicit consent.

5. Message & Data Rates
   Standard message and data rates may apply for messages sent to you from us and to us from you. For questions about your text or data plan, contact your wireless provider.

6. Carriers & Delivery
   Our SMS program works with major U.S. carriers, including AT&T, T‑Mobile, Verizon, and most regional carriers. Carriers are not liable for delayed or undelivered messages.

7. Age Restriction
   You must be 18 years or older to participate in our SMS program.

8. Privacy
   We do not sell or share text messaging originator opt‑in data or consent records with third parties for marketing or promotional purposes. We may share your mobile number and messaging metadata only with our contracted messaging providers and carriers as strictly necessary to deliver messages you have consented to receive. Compliance: We comply with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and A2P 10DLC requirements, as applicable.

By signing or submitting an application, each listed business and each business owner/officer (individually and collectively, “you”) authorize 4 Season Funding (“4SF”) and each of its representatives, successors, assigns, and designees (collectively, “Recipients”)—that may be involved with or acquire commercial loans having daily repayment features or purchases of future receivables, including Merchant Cash Advance transactions (collectively, “Transactions”)—to:

• Obtain consumer/personal, business, and investigative reports, and other information about you from one or more consumer reporting agencies (including TransUnion, Experian, and Equifax) and from other credit bureaus, banks, creditors, service providers, and third parties. Such information may include, without limitation, credit card processor statements, bank statements, average bank balances, credit histories, payment habits, tax ID, and related underwriting information.
• Transmit your application and any information obtained in connection with your application to any or all Recipients for purposes of evaluating, underwriting, servicing, monitoring, purchasing, and/or collecting in connection with Transactions.
• Receive from any creditor, financial institution, payment processor, or service provider any information relating to you or your business for the foregoing purposes.

This is a continuing authorization that remains in effect for as long as reasonably necessary to evaluate your application(s), provide or service any resulting Transactions, and as otherwise permitted by law. You may revoke this authorization by notifying us in writing at the contact information below; however, revocation may prevent us or Recipients from proceeding with application review or servicing.

FCRA Notice: You understand and agree that a consumer report may be obtained in connection with your application and for permissible purposes related to any subsequent Transactions, renewals, extensions, or collections. If any adverse action is taken based on information in a consumer report, we will provide you with an adverse action notice as required by law.

Communications Consent: You consent to receive emails, text messages, facsimiles, and telephone calls (including via an automatic telephone dialing system, prerecorded or artificial voice, where permitted) from 4SF, its employees, agents, and Recipients at the contact information you provide, even if any telephone number is listed on state or federal Do Not Call registries. Your consent to SMS is not a condition of applying for or obtaining financing. You may opt out of SMS at any time as described above; you may also unsubscribe from marketing emails using the “unsubscribe” link. Standard carrier rates may apply.

By using our Site and services, you agree to receive disclosures, notices, agreements, statements, and other communications electronically (“Electronic Communications”) and to use electronic signatures in connection with your application and any Transactions. You may withdraw your consent to receive Electronic Communications by contacting us at info@4seasonfunding.com; withdrawal may delay processing or prevent us from providing services. You are responsible for providing and maintaining a valid email address and compatible device/software to access, view, and retain Electronic Communications. You should print or save copies for your records.

The Site and all content, features, and functionality (including text, graphics, logos, images, and software) are owned by 4SF and/or our licensors and are protected by intellectual property laws. We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Site for your personal, non‑commercial use. Except as expressly permitted, you may not copy, modify, distribute, transmit, display, perform, create derivative works from, or exploit any content without our prior written consent. You may download and/or print one copy of individual pages for personal, non‑commercial use, provided you keep intact all proprietary notices.

By posting, uploading, or submitting any content to us (e.g., comments, reviews, forms, or materials), you represent that you own or have rights to such content and grant us a worldwide, royalty‑free, perpetual, irrevocable, non‑exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in connection with our business and services, subject to applicable law and our Privacy Policy.

Parts of the Site may reference or link to third‑party services (e.g., document signing, identity verification, payment processing). We are not responsible for the quality, accuracy, timeliness, reliability, or any other aspect of third‑party products or services. Your dealings with third parties are solely between you and the third party and are governed by the third party’s terms and privacy policies.

You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to maintain the security of your credentials. You are responsible for all activities under your account. Notify us promptly of any unauthorized access or use.

You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to interfere with or compromise the system integrity or security; (c) scrape, crawl, or harvest data without permission; (d) misrepresent your identity or provide false information; or (e) use the Site in a manner that infringes the rights of others.

The Site and services are provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant that the Site will be uninterrupted or error‑free, or that defects will be corrected. We may provide links to third‑party sites or resources; such links do not imply endorsement, and we are not responsible for their content.

To the fullest extent permitted by law, in no event shall 4SF, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenues, loss of data, or business interruption, arising out of or in connection with these Terms, the Site, or the services, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid (if any) to use the Site or, with respect to a specific financed Transaction, the fees directly paid to 4SF for that Transaction during the 12 months preceding the claim.

You agree to defend, indemnify, and hold harmless 4SF, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or services; (b) your breach of these Terms; (c) your violation of law or the rights of any third party; or (d) your submissions or content.

We may suspend or terminate your access to the Site or services at any time, with or without notice, if we believe you have violated these Terms or engaged in unlawful or inappropriate conduct. Upon termination, your right to use the Site ceases immediately. Sections that by their nature should survive termination will survive (including, without limitation, Disclaimers, Limitation of Liability, Indemnification, and Governing Law/Arbitration).

These Terms are governed by the laws of the state in which 4SF is organized or primarily operates, without regard to its conflicts of laws rules. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the services shall be resolved by binding arbitration on an individual basis, and not in a class, representative, or consolidated proceeding. You and 4SF waive any right to a jury trial and to participate in a class action. The arbitration shall be conducted by a reputable arbitration provider and in a location reasonably convenient to both parties, or virtually, consistent with the provider’s rules. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights.

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. These Terms, together with any Transaction‑specific agreements and the Privacy Policy, constitute the entire agreement between you and 4SF regarding the Site and services. You may not assign your rights or obligations under these Terms without our prior written consent. Our failure to enforce any provision shall not be a waiver of that provision or any other provision.

You represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself and/or the business you represent.
